Last Updated: September 7, 2026

Welcome to SaintState.

These Terms of Service (“Terms”) govern your access to and use of saintstate.com (the “Website”), including any products, services, features, content, and transactions made available through the Website.

The Website and online store are operated by:

VATINIUS LLC
8206 Louisiana Blvd NE
STE A #10139
Albuquerque, NM 87113
United States

By accessing the Website, placing an order, creating an account, or otherwise using the Website, you agree to be bound by these Terms, together with any policies expressly incorporated into them.

If you do not agree with these Terms, you should not use the Website or purchase products through it.

Nothing in these Terms is intended to exclude, restrict, or waive any right or protection that cannot lawfully be excluded, restricted, or waived in the jurisdiction applicable to you.

1. Definitions

For purposes of these Terms:

“SaintState,” “we,” “us,” or “our” means VATINIUS LLC, including its authorized representatives, affiliates, service providers, and successors where applicable.

“Website” means saintstate.com and any associated webpages, online stores, applications, or digital services operated by or on behalf of VATINIUS LLC.

“Customer,” “you,” or “your” means the person or legal entity accessing the Website or purchasing products through it.

“Product” means any physical product offered for sale through the Website.

“Order” means a purchase request submitted through the Website.

“Consumer” means an individual acting primarily for purposes outside that individual's trade, business, profession, or commercial activity, where the applicable law recognizes such status.

“Business Customer” means an individual or legal entity purchasing primarily for commercial, professional, resale, or business purposes.

2. Eligibility

You may use the Website only where legally permitted to do so.

By using the Website or placing an order, you represent that:

  1. you have the legal capacity to enter into a binding agreement under the law applicable to you;

  2. all information you provide is accurate and complete;

  3. you will comply with these Terms and applicable laws;

  4. you will not use the Website for fraudulent, unlawful, abusive, or unauthorized purposes.

Where applicable, purchases made by minors require the involvement or authorization of a parent or legal guardian.

We reserve the right to refuse service, cancel transactions, restrict access, or terminate accounts where permitted by applicable law.

3. Website Use

You may use the Website solely for lawful purposes.

You must not:

  • use the Website for fraudulent or deceptive activity;

  • attempt to gain unauthorized access to the Website or its systems;

  • interfere with the operation or security of the Website;

  • introduce malicious code, viruses, or other harmful material;

  • scrape, crawl, copy, reproduce, or systematically extract Website content without authorization;

  • use automated systems to place orders where this is prohibited;

  • purchase Products for purposes prohibited by law;

  • impersonate another person or entity;

  • misuse promotional offers;

  • abuse return, refund, chargeback, or customer-service procedures;

  • infringe our intellectual-property rights or those of third parties.

We may suspend or terminate Website access where we reasonably believe that prohibited activity has occurred, subject to applicable law.

4. Product Information

We make reasonable efforts to display Products accurately, including descriptions, photographs, specifications, colors, sizes, and availability.

However, differences may occur due to:

  • screen and device settings;

  • lighting and photography;

  • manufacturing variations;

  • product batches;

  • measurement tolerances;

  • updates to Product specifications.

Product images are provided for illustrative purposes unless expressly stated otherwise.

A Product's inclusion on the Website does not constitute a guarantee that the Product will remain available.

We reserve the right to discontinue Products, change Product specifications, limit quantities, correct errors, or update Product information at any time before an Order is accepted, subject to applicable law.

5. Prices

All prices displayed on the Website are stated in the currency indicated at checkout.

Prices may be changed at any time before an Order is accepted.

Unless expressly stated otherwise, displayed Product prices may not include:

  • shipping charges;

  • customs duties;

  • import taxes;

  • brokerage or handling fees;

  • other government-imposed charges.

The total amount payable, including applicable charges known to us at the time of checkout, will be displayed before the Order is submitted.

Where applicable law requires taxes to be included in displayed consumer prices, the applicable pricing rules will prevail.

6. Pricing Errors

Despite reasonable efforts to maintain accurate pricing, errors may occasionally occur.

If we discover a material pricing, Product, promotional, or availability error in an Order before fulfillment, we may, where legally permitted:

  1. cancel the affected Order;

  2. correct the price;

  3. notify you and request confirmation at the corrected price; or

  4. provide another lawful remedy.

If an Order is cancelled because of an error and payment has already been collected, we will refund the relevant amount in accordance with applicable law.

Nothing in this section permits us to avoid a legally binding sale where applicable law provides otherwise.

7. Promotions and Discount Codes

Promotional offers, discount codes, sales, giveaways, and other special offers may be subject to additional terms.

Unless expressly stated otherwise:

  • promotions cannot be combined;

  • promotional codes have no cash value;

  • promotional offers may be limited to one use per customer;

  • promotions may exclude certain Products or destinations;

  • promotions may have minimum purchase requirements;

  • promotional terms apply only during the stated promotional period.

We reserve the right to cancel or restrict promotional benefits obtained through fraud, abuse, technical errors, or unauthorized use, to the extent permitted by applicable law.

8. Orders

Submitting an Order constitutes an offer to purchase the selected Products.

Your Order is not necessarily accepted merely because you receive an automated Order confirmation.

An automated confirmation may acknowledge receipt of your Order without constituting final acceptance.

We may accept or decline an Order for lawful reasons, including:

  • Product unavailability;

  • pricing or listing errors;

  • suspected fraud;

  • payment problems;

  • shipping restrictions;

  • regulatory restrictions;

  • unusually large or suspicious orders;

  • errors in customer information;

  • technical errors;

  • inability to fulfill the Order.

Where an Order is lawfully cancelled after payment has been collected, the applicable amount will be refunded.

Where applicable consumer law provides that a contract is formed at an earlier stage, such law controls.

9. Order Acceptance and Contract Formation

Unless otherwise stated at checkout, a purchase contract is formed when we expressly accept your Order, dispatch the Product, or otherwise confirm acceptance in accordance with applicable law.

Where applicable law determines when a consumer contract is formed, that law will prevail.

A confirmation email stating that an Order has been “received” or “processed” does not necessarily constitute final acceptance unless it expressly states otherwise.

10. Order Cancellation by SaintState

We may cancel an Order before shipment where permitted by law, including where:

  • the Product is unavailable;

  • a significant pricing or listing error occurred;

  • payment cannot be verified;

  • fraud or unauthorized activity is suspected;

  • the shipping destination is unavailable;

  • fulfillment would violate applicable law;

  • a regulatory or carrier restriction applies;

  • the customer has materially breached these Terms.

Where we cancel an Order after receiving payment, we will refund the relevant amount as required by applicable law.

11. Customer Order Information

You are responsible for ensuring that all information submitted with an Order is accurate, complete, and current.

This includes your:

  • name;

  • email address;

  • billing information;

  • shipping address;

  • telephone number where requested;

  • payment information;

  • customs information where applicable.

We are not responsible for delivery failures caused by inaccurate or incomplete information supplied by you, except where applicable law provides otherwise.

12. Payment

Payment must be successfully authorized before an Order can be processed.

We may use third-party payment processors.

By submitting payment information, you represent that:

  • you are authorized to use the selected payment method;

  • the payment information is accurate;

  • the transaction is legitimate;

  • you will not use unauthorized payment instruments.

Payment processors may apply their own terms, conditions, and privacy policies.

We do not generally receive or retain complete payment-card credentials where payment processing is handled directly by a third-party processor.

13. Fraud Prevention

We may use automated and manual systems to identify potentially fraudulent or unauthorized transactions.

We may request additional information to verify an Order where reasonably necessary.

Where an Order presents a legitimate fraud, security, payment, or compliance concern, we may delay, decline, cancel, or restrict the Order to the extent permitted by law.

14. Chargebacks and Payment Disputes

You agree to contact us first regarding legitimate payment, billing, Product, delivery, or refund disputes so that we have an opportunity to investigate and resolve the issue.

You must not initiate a fraudulent or unauthorized chargeback, dispute, or payment reversal.

Nothing in this section restricts any lawful right to dispute a transaction with your payment provider.

Where a chargeback is determined to have been improperly initiated and applicable law permits recovery, we reserve the right to pursue any lawful remedies available to us.

15. Shipping

Shipping is governed by our separate Shipping Policy, which is incorporated into these Terms by reference.

Shipping estimates are not guaranteed delivery dates unless expressly identified as guaranteed.

We may use third-party carriers, fulfillment providers, warehouses, logistics companies, postal operators, and other service providers.

Nothing in our Shipping Policy or these Terms excludes statutory delivery rights that cannot legally be excluded.

For U.S. orders, where no shipment period is stated, applicable federal rules generally require shipment within 30 days, subject to the applicable rules concerning delays and refunds. Where we make a specific shipment representation, we must have a reasonable basis for that representation.

16. Customs, Duties, and Import Charges

International Orders may be subject to:

  • customs duties;

  • VAT;

  • sales or use taxes;

  • import taxes;

  • brokerage fees;

  • clearance charges;

  • carrier handling fees;

  • other charges imposed by the destination jurisdiction.

Unless expressly stated otherwise at checkout, such charges are the customer's responsibility to the extent permitted by applicable law.

We do not control customs authorities and cannot guarantee that a shipment will clear customs within any particular period.

Customers are responsible for ensuring that Products can lawfully be imported into their destination jurisdiction.

17. Delivery

Delivery is made to the shipping address provided with the Order.

Where a carrier requires a signature, identification, customs information, or other delivery requirement, the customer is responsible for reasonably cooperating with the carrier.

Delivery estimates may be affected by customs, weather, carrier disruptions, public holidays, labor disruptions, governmental restrictions, and other circumstances.

Nothing in these Terms limits statutory rights relating to non-delivery or late delivery.

18. Returns and Refunds

Returns, refunds, exchanges, cancellations, and withdrawal rights are governed by our Returns & Refund Policy, together with any mandatory rights applicable under the law governing your transaction.

Nothing in these Terms eliminates or reduces a consumer's non-waivable statutory rights.

19. Product Conformity and Legal Guarantees

Products sold through SaintState are covered by any mandatory statutory guarantees, warranties, conformity rights, or other consumer protections applicable to the transaction.

Nothing in these Terms excludes or limits a legal guarantee or remedy that cannot lawfully be excluded.

Any additional voluntary manufacturer or seller warranty will apply according to its stated terms.

20. Consumer Withdrawal and Cancellation Rights

Where applicable law grants consumers a statutory withdrawal, cancellation, or cooling-off period for online purchases, those rights remain unaffected.

For example, EU consumer law generally provides a 14-day withdrawal period for many distance purchases, subject to statutory exceptions.

The applicable withdrawal procedure and exceptions are described in our Returns & Refund Policy.

21. Customer Reviews and User Content

Where the Website permits customers to submit reviews, photographs, comments, testimonials, or other content (“User Content”), you retain ownership of your User Content.

By submitting User Content, you grant VATINIUS LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, display, modify, publish, distribute, translate, and otherwise use that User Content for operating, marketing, advertising, and promoting SaintState, subject to applicable law.

You represent that:

  • you own or have the necessary rights to the User Content;

  • the User Content does not infringe third-party rights;

  • you have obtained any necessary permissions from identifiable persons;

  • the User Content is not unlawful, defamatory, deceptive, or fraudulent.

We may remove or refuse User Content where permitted by law.

Nothing in this section obligates us to use User Content.

22. Intellectual Property

The Website and its contents are protected by applicable intellectual-property laws.

Unless otherwise indicated, SaintState and/or VATINIUS LLC owns or licenses the rights in:

  • trademarks;

  • logos;

  • trade names;

  • Website designs;

  • graphics;

  • photographs;

  • product imagery;

  • videos;

  • text;

  • illustrations;

  • page layouts;

  • software;

  • databases;

  • other Website materials.

No intellectual-property rights are transferred to you merely because you purchase a Product or use the Website.

You may not reproduce, distribute, modify, create derivative works from, publicly display, sell, license, or commercially exploit Website content without prior written authorization, except where permitted by law.

23. Trademarks

SaintState and related brand elements may constitute trademarks or trade dress belonging to VATINIUS LLC or third parties.

You may not use our trademarks in a manner likely to cause confusion, imply endorsement, or otherwise infringe our rights.

Nothing in these Terms grants you a license to use our trademarks.

24. Third-Party Services

The Website may integrate with third-party services, including payment processors, shipping providers, analytics services, advertising services, social-media services, authentication providers, and other technology providers.

Third-party services may be subject to separate terms and privacy policies.

To the maximum extent permitted by law, VATINIUS LLC is not responsible for independent acts, omissions, availability, security, or policies of third parties.

Where we are legally responsible for a third-party service under applicable law, such legal responsibility remains unaffected.

25. Third-Party Links

The Website may contain links to third-party websites.

Such links are provided for convenience and do not necessarily constitute endorsement or affiliation.

We are not responsible for third-party websites, their content, security, policies, products, or services, except where applicable law provides otherwise.

26. Accounts

Where account functionality is available, you are responsible for maintaining the confidentiality of your account credentials.

You are responsible for activity conducted through your account unless unauthorized use results from circumstances for which we are legally responsible.

You agree to notify us promptly of suspected unauthorized access.

We may suspend or terminate accounts where reasonably necessary to protect the Website, customers, our business, or third parties, subject to applicable law.

27. Account Termination

You may stop using your account at any time.

We may suspend or terminate accounts for lawful reasons, including:

  • breach of these Terms;

  • fraud;

  • abuse;

  • unauthorized activity;

  • security risks;

  • legal requirements;

  • repeated misuse of customer-service or refund procedures.

Termination does not affect rights or obligations that accrued before termination.

Sections intended by their nature to survive termination will remain effective.

28. Availability of the Website

We do not guarantee that the Website will always be:

  • available;

  • uninterrupted;

  • secure;

  • error-free;

  • free from harmful components.

The Website may be temporarily unavailable because of maintenance, technical failures, cyberattacks, upgrades, infrastructure problems, third-party outages, or other circumstances.

We may modify, suspend, or discontinue Website features where permitted by law.

29. Accuracy and Errors

We make reasonable efforts to maintain accurate information.

However, the Website may contain typographical, pricing, product, availability, technical, or other errors.

Where permitted by law, we reserve the right to correct errors and update Website information without prior notice.

Nothing in this section excludes legally binding obligations or statutory consumer protections.

30. Disclaimer of Certain Warranties

To the maximum extent permitted by applicable law, the Website and non-mandatory Website services are provided without warranties other than those expressly provided by us or required by law.

To the maximum extent permitted by law, we do not warrant that:

  • the Website will be uninterrupted;

  • the Website will always be error-free;

  • all information will always be complete or current;

  • Website functionality will satisfy every individual requirement;

  • defects will always be corrected immediately.

Nothing in this section excludes any warranty, conformity obligation, or consumer protection that cannot legally be excluded.

31. Limitation of Liability

To the maximum extent permitted by applicable law, VATINIUS LLC will not be liable for indirect, incidental, special, exemplary, consequential, or punitive losses arising from or relating to the Website or an Order, including loss of profits, revenue, business opportunities, goodwill, or data.

To the maximum extent permitted by law, VATINIUS LLC's total aggregate liability arising from an Order will not exceed the amount actually paid by the customer for the specific Product or Products giving rise to the claim.

The foregoing limitations do not apply to liability that cannot legally be limited or excluded.

Nothing in these Terms excludes or limits liability for matters such as fraud, intentional misconduct, or other liability where such exclusion or limitation is prohibited by applicable law.

32. Business Customers

Unless mandatory law provides otherwise, the following provisions apply to Business Customers:

  1. statutory consumer-specific protections may not apply;

  2. the Business Customer represents that it is purchasing for commercial purposes;

  3. the Business Customer is responsible for ensuring that Products are suitable for its intended commercial use;

  4. Business Customers must inspect shipments and notify us promptly of apparent shortages, damage, or defects;

  5. contractual claims may be subject to shorter notification periods where permitted by applicable law;

  6. liability limitations stated in these Terms apply to the maximum extent permitted by applicable law.

A person cannot be deprived of consumer status merely by labeling an Order as commercial where the applicable law recognizes that person as a consumer.

33. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless VATINIUS LLC and its officers, members, employees, contractors, and service providers from third-party claims, liabilities, damages, losses, and reasonable costs arising from:

  • your unlawful use of the Website;

  • your material breach of these Terms;

  • your infringement of third-party rights;

  • fraudulent activity;

  • User Content submitted by you;

  • your violation of applicable law.

This section does not require indemnification to the extent prohibited by applicable law.

34. Force Majeure

We will not be responsible for failure or delay caused by circumstances beyond our reasonable control, including:

  • natural disasters;

  • extreme weather;

  • war;

  • terrorism;

  • civil unrest;

  • epidemics or pandemics;

  • strikes;

  • transportation disruptions;

  • port closures;

  • carrier failures;

  • customs restrictions;

  • governmental action;

  • sanctions;

  • power or telecommunications failures;

  • cyber incidents;

  • supply shortages;

  • infrastructure failures;

  • acts of God;

  • other events beyond our reasonable control.

Where applicable law provides mandatory remedies despite such circumstances, those remedies remain unaffected.

35. Compliance With Applicable Law

You agree to use the Website and Products in compliance with all laws applicable to you.

We reserve the right to restrict sales or Website access where necessary to comply with sanctions, export controls, customs restrictions, regulatory requirements, or other applicable laws.

36. International Customers

SaintState may accept Orders from customers in jurisdictions around the world.

Because laws vary between jurisdictions, certain provisions of these Terms may not apply to every customer in exactly the same way.

Where a mandatory provision of the law of your jurisdiction conflicts with these Terms, the mandatory provision prevails to the extent required.

All other provisions remain effective.

37. Governing Law

Except where mandatory consumer-protection law provides otherwise, these Terms and the contractual relationship between you and VATINIUS LLC are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law principles.

For consumers located in jurisdictions that grant mandatory protections or provide that their local law applies notwithstanding a contractual choice of law, those protections remain fully applicable.

Nothing in this clause deprives consumers of mandatory rights available under applicable law.

38. Dispute Resolution

We encourage customers to contact us first so that we can attempt to resolve any dispute efficiently.

Where a dispute cannot be resolved informally, the dispute may be resolved through the courts or other dispute-resolution mechanism having lawful jurisdiction.

For Business Customers, and to the maximum extent permitted by applicable law, disputes may be subject to the exclusive jurisdiction of the courts located in or serving Bernalillo County, New Mexico, United States.

For consumers, mandatory jurisdictional rights and consumer-protection rules remain unaffected.

39. Arbitration — Where Legally Permitted

To the maximum extent permitted by applicable law, VATINIUS LLC and a Business Customer may agree to resolve disputes through binding arbitration rather than litigation.

Nothing in this section requires a consumer to arbitrate a dispute where applicable law prohibits mandatory consumer arbitration or otherwise grants the consumer a right to pursue the matter in court.

Any arbitration agreement applicable to a particular transaction must be enforceable under the law governing that transaction.

40. Class Actions — Where Legally Permitted

To the maximum extent permitted by applicable law, Business Customers agree that disputes shall be brought only on an individual basis and not as part of a class, collective, consolidated, or representative proceeding.

This provision does not apply where applicable law prohibits such a limitation.

Nothing in this section limits a consumer protection right that cannot lawfully be waived.

41. Privacy

Our collection and use of personal information are governed by our Privacy Policy, which forms part of these Terms.

By using the Website, you acknowledge that personal information may be processed as described in the Privacy Policy, subject to applicable data-protection laws.

42. Electronic Communications

When you interact with the Website, place an Order, create an account, or communicate with us electronically, you consent to receive electronic communications where permitted by law.

Electronic communications may include:

  • Order confirmations;

  • shipping notifications;

  • transactional messages;

  • customer-service communications;

  • account notices;

  • legal notices;

  • other service-related communications.

You agree that electronic records may satisfy applicable legal requirements concerning written communications where legally recognized.

You may withdraw marketing consent through the applicable unsubscribe mechanism. Transactional communications may continue where necessary.

43. Notices

Legal notices concerning these Terms or your account may be provided electronically, through the Website, by email, or by another legally permitted method.

Notices will be effective when delivered in accordance with applicable law.

44. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

A waiver must be expressly made and, where required, in writing.

45. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

For consumers, any mandatory statutory provision that supersedes an inconsistent term will apply instead.

46. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where applicable law permits such transfer.

We may assign, transfer, or delegate our rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, financing, change of control, or transfer of the Website or business, subject to applicable law.

47. Entire Agreement

These Terms, together with policies expressly incorporated by reference, constitute the agreement governing your use of the Website and purchases made through it, except to the extent additional terms apply to a specific transaction.

Where these Terms conflict with mandatory law, mandatory law prevails.

Where these Terms conflict with a specific written agreement expressly entered into between VATINIUS LLC and a Business Customer, that agreement controls to the extent of the conflict.

48. Changes to These Terms

We may update these Terms from time to time.

The updated Terms will be posted on the Website with a revised “Last Updated” date.

Changes generally apply prospectively from the effective date stated in the updated Terms, except where a different application is required by law.

Changes will not retroactively alter rights where applicable law prohibits such modification.

49. No Partnership or Agency

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, agency, or other relationship between you and VATINIUS LLC unless expressly stated.

You have no authority to bind VATINIUS LLC.

50. Headings

Section headings are provided for convenience and do not affect interpretation.

51. Contact Information
